Addus to buy AccentCare's personal care arm for about $275 million
The home care company said it will pay roughly $275 million for AccentCare's personal care operations outside New York, and told investors the deal would add about $280 million of annual revenue.
What happened
Addus HomeCare said on 14 September that it had signed a definitive agreement to buy the personal care division of AccentCare. The company put the price at about $275 million, after the usual adjustments made at closing. Personal care means help with daily living at home, such as bathing, dressing and meals, rather than nursing or end of life care. Addus also filed notice of the agreement with the Securities and Exchange Commission the same day. [1, 2]
What is being bought
The deal covers only AccentCare's personal care work outside New York. Its hospice and home health businesses are not part of it. Addus said the operations it is buying serve an average of about 13,700 clients a day from locations in ten states. Trade publication Home Health Care News reported that the purchase takes Addus into six states where it does not now operate, naming Colorado, Georgia, Minnesota, Pennsylvania, Tennessee and Washington, and adds density in Texas, Illinois, California and Arizona. [1, 3]
How it is paid for
Addus said it will fund the purchase with a mix of its revolving credit line, which is a bank facility it can draw on and repay, and cash it already holds. The company said closing depends on regulatory approvals and the usual conditions, so the date is not fixed. [1]
What the company expects
Chairman and chief executive Dirk Allison said in a statement that the deal is expected to add roughly $280 million of annual personal care revenue, which he described as about a 19 percent increase to the company's revenue base, as reported by Home Health Care News. That is the company's own expectation, not a result. Reporting in a healthcare advisory firm's weekly deal digest said the seller is AccentCare, which is backed by private equity firm Advent International, and that the assets bought are weighted towards Medicaid-funded personal care rather than Medicare home health.
