5.4/10headline grade
vs its business-model standard

Three tenses, nine metrics. Unseen metrics stay unseen; the grade never fakes a number. Proxy era: provisional values, marked. Weighed as a product business: from the semis smell test of 2026-08-06. All three tenses have at least two readings, so the archetype blend applies as printed.

The grade, in three tenses

Headline 5.4 out of ten, 9 of 9 metrics filed: past 6.0 out of ten, present 5.7 out of ten, future 4.6 out of ten. The past asks what it actually did, the present what it is doing right now, the future what it is set up to do next.

How the company works

Read from its Form 10-K filed 2025-11-07.

The people

Philip G. Brace has been chief executive and president since February 17, 2025, when he also joined the board; the board appointed him on February 4, 2025. He came from outside the company: interim executive chairman of Inseego from February 2024 to February 2025 and a director there from September 2023, president and chief executive of Sierra Wireless from July 2021 to January 2023, executive vice president at Veritas Software Technology Corp from 2019 to 2021, president of cloud systems at Seagate from 2015 to 2017, and earlier engineering and management roles at Intel and LSI. He followed Liam K. Griffin, who ceased serving as chief executive, president and a director on February 17, 2025, advised for three months, and whose employment ended on May 16, 2025. [1, 2, 3, 4, 5]

The finance seat changed hands three times in one year. Kris Sennesael told the company on May 1, 2025 that he would resign, effective May 9, 2025, to take another position. Mark P. Dentinger was announced on May 7, 2025 as the incoming chief financial officer, effective June 2, 2025, but an unforeseen medical condition meant he never started. On May 29, 2025 the board appointed one of its own members, Robert A. Schriesheim, interim chief financial officer, and after a search it gave the job to Philip Carter, effective September 8, 2025; he came from Advanced Micro Devices, where he was chief accounting officer. Todd Lepinski became senior vice president for sales and marketing on June 2, 2025. [6, 7, 8, 9, 10]

Christine King has chaired the board since February 2025, having joined it in 2014 and served as lead independent director from 2019. She ran AMI Semiconductor from 2001 until ON Semiconductor bought it in 2008, then Standard Microsystems from 2008 until Microchip Technology bought it in 2012, and was executive chairman of QLogic from August 2015 until Cavium acquired it in August 2016. On the insider record this site holds, 26 people have filed reports as Skyworks officers or directors and 13 of them filed in the last fifteen months; Kevin L. Beebe and David P. McGlade first filed in 2006, the first year those data sets reach, and both still file. [11, 12, 13, 14]

About 10,000 people work for Skyworks around the world, more than 99% of them full time. Just over half, 54%, are in Mexico, 24% in the United States, 20% in Asia and 1% in Canada, with less than 1% in Europe. By job, 39% are in individual contributor manufacturing roles, 36% in engineering or technician roles, 12% in managerial roles and 13% in professional or other administrative roles. Collective bargaining and other union agreements cover about 3,260 of the Mexican employees, 550 in Singapore and 460 in Japan. [15, 16, 17, 18]

How it operates

Skyworks designs, makes and sells analog and mixed-signal semiconductors: the parts that handle radio signals and power inside other companies' products. Its own list of applications runs from aerospace, automotive, broadband and cellular infrastructure through connected home, defense, entertainment and gaming, industrial and medical to smartphones, tablets and wearables. The catalogue is wide. Amplifiers strengthen a signal so that it has enough energy to reach a base station; filters recover and separate mixed and modulated data, including the SAW, TC-SAW and BAW kinds; front-end modules put two or more of those functions in one package; timing devices are the clock generators, oscillators, jitter attenuators and buffers used in optical networking, data centers, wireless base stations, industrial and automotive gear; power isolators are the digital and analog isolators and isolated gate drivers used in industrial control, solar inverters, hybrid and electric automotive systems and charging stations. [19, 20, 21, 22, 23, 24]

A single buyer dominates. Apple, buying through multiple distributors, contract manufacturers and direct sales for smartphones, tablets, desktop and notebook computers, watches and other devices, accounted for 67% of net revenue in fiscal 2025, 69% in fiscal 2024 and 66% in fiscal 2023. The three largest accounts receivable balances were 82% of the gross total at the end of fiscal 2025, against 80% a year earlier. The wider customer list the filing prints includes Amazon, Cisco, Ericsson, Google, Nokia, Samsung, Tesla and Xiaomi among many others. Nothing is sold to the person who uses it: the parts are components inside somebody else's product, so the business depends on design wins, and the filing says plainly that it has lost content and sockets at customers, its largest one included. [25, 26, 27, 28, 29]

Unusually for a chip designer of its size, Skyworks runs a great deal of its own plant. It calls this a hybrid manufacturing model: its own specialized internal manufacturing alongside alliances and outside relationships for leading-edge technology. It owns semiconductor wafer fabrication in Newbury Park, California and Woburn, Massachusetts, filter wafer processing in Osaka, Japan, and packaging, assembly and test in Mexicali, Mexico and in Singapore. Outside foundries supply silicon-based products and top up its gallium arsenide wafer capacity. The plant shows in the books: property, plant and equipment, net, stood at 1,194.6 million dollars at the close of fiscal 2025, with Japan the largest at 461.0 million, then Mexico at 264.0 million, the United States at 226.8 million and Singapore at 215.0 million. [30, 31, 32, 33]

Two other habits shape the year. Demand is seasonal: the company says the highest demand generally falls in its first fiscal quarter, ending in December, and its fourth, ending in September, and the lowest in the second, ending in March, and the third, ending in June. And the order book tells little, because industry practice lets customers cancel with limited advance notice before shipment and with little or no penalty, so the company says backlog on any particular date may not be a reliable indicator of its future revenue. Raw materials generally come from several sources, but the filing says there are limited situations where it buys components and services from single or limited sources and that it currently depends on a limited number of sole-source suppliers. Selling goes through a direct sales force, electronic component distributors and independent sales representatives. [34, 35, 36, 37]

The specifics

What it sells rests on filters and on integration. The company says it offers the broadest portfolio of radio and analog solutions from the transceiver to the antenna, along with all the manufacturing process technologies they need, and calls itself a leader in passive devices and in advanced integration, including proprietary shielding and three-dimensional die stacking, as well as SAW, TC-SAW and BAW filters. Behind that sit about 5,200 issued patents worldwide. Research spending has risen while revenue has not: 785.5 million dollars in fiscal 2025 against 631.7 million in fiscal 2024 and 606.8 million in fiscal 2023, which the company puts down to headcount, share-based compensation and engineering prototypes as it invests in new technologies and products. Its distribution network spans about 6,900 customers and 4,900 unique products. [38, 39, 40, 41]

The filing names its competitors: Analog Devices, Broadcom, Cirrus Logic, Murata Manufacturing, NXP Semiconductors, Qorvo, Qualcomm and Texas Instruments. It says it competes on time to market, new product innovation, quality, performance, price, compliance with industry standards, relationships with customers and baseband vendors, people, and the protection of its intellectual property, in a market where new products keep arriving and existing ones keep going obsolete. It is also trying to widen the ground it stands on, growing beyond mobile devices into automotive, home and factory automation, data center, solar, wireless infrastructure, aerospace and defense, medical and smart energy. [25, 42, 43]

On October 27, 2025, three weeks after the fiscal year closed, Skyworks agreed to combine with Qorvo, a provider of connectivity and power solutions and one of the competitors on its own list, in a cash-and-stock transaction. The exchange ratio is expected to leave Qorvo equityholders with about 37% of the combined company and Skyworks equityholders with about 63%. The board afterwards would hold 11 directors: the chief executive of Skyworks, seven designated by Skyworks and three designated by Qorvo. The filing says the mergers are anticipated to close early in calendar year 2027, subject to both sets of stockholders, the Hart-Scott-Rodino waiting period and other antitrust and foreign investment approvals. Either side would owe the other a termination fee of 298.7 million dollars in certain circumstances, and Skyworks would owe Qorvo 100.0 million if regulators stop it. Goldman Sachs Bank USA has committed up to 3,050.0 million of senior unsecured bridge term loans toward the cash part. [25, 44, 45, 46, 47, 48, 49]

Trade rules and a lawsuit sit on the record. The company says the tariffs announced by the United States in 2025 and China's countermeasures have already affected trade and costs, and that government actions restricting sales to Chinese customers or the sourcing of components in China have hit its manufacturing costs and the availability and cost of materials including gallium, germanium, antimony, tungsten, molybdenum and scandium. It adds that export restrictions have expanded, that more Chinese entities may be added to the Bureau of Industry and Security's Entity List, and that this has already limited what it may sell and to whom. Separately, on June 20, 2025 Denso Corporation sued the company for patent infringement in a United States district court in California and in the Osaka District Court in Japan over patents relating to piezoelectric thin film, seeking damages and an injunction; the company says it believes it has substantial defenses and intends to oppose the suits. [50, 51, 52, 53, 54]

What drives growth, line by line

Revenue fell for the third year running: 4,086.9 million dollars in fiscal 2025 against 4,178.0 million in fiscal 2024 and 4,772.4 million in fiscal 2023, a fall of 2.2%. The company gives one reason and one offset: a decrease in market share at a significant customer, partly offset by more demand for its mobile and Wi-Fi products. Skyworks reports as a single operating segment, so the accounts carry no product lines; it splits revenue instead by where the original equipment manufacturer has its headquarters and by sales channel. On the record this site holds the slide is longer than three years: revenue was 5.5 billion in 2022 and 5.1 billion in 2021, after 3.4 billion in 2020. [55, 56, 57, 58, 59]

United States. 3,157.1 million dollars, the largest line by far and roughly three quarters of the total, down from 3,202.2 million in fiscal 2024 and 3,603.9 million in fiscal 2023. The tag follows the buyer's headquarters rather than the factory, so an American-headquartered maker counts here however far away the contract manufacturer that assembles its product sits. [57, 58]

Taiwan. 259.1 million dollars, down from 317.5 million in fiscal 2024 and 344.4 million in fiscal 2023. Taiwan is where much of the industry's assembly sits, and the filing warns that disruption of critical operations in, or of shipping to or from, Taiwan would affect the company's ability to manufacture certain products and would likely have substantial negative effects on the entire semiconductor industry. [58, 60]

China. 254.2 million dollars, down from 303.4 million in fiscal 2024 and 358.3 million in fiscal 2023. The filing points at the tariffs announced by the United States in 2025 and China's countermeasures, at export restrictions that have already limited whom it may sell to, and at China's own stated policy of reducing its dependence on foreign semiconductor makers, which it says has likely already cut demand for its products there. [52, 54, 58, 61]

South Korea. 190.1 million dollars, down from 203.9 million in fiscal 2024; fiscal 2023 was 198.3 million, so this line rose once and then fell back below where it started. [58]

Europe, Middle East, and Africa. 185.8 million dollars, up from 114.5 million in fiscal 2024, the largest rise of any region in the table, though still below the 204.2 million of fiscal 2023. [58]

Other Asia-Pacific. The smallest line, 40.6 million dollars, up from 36.5 million in fiscal 2024 and well below the 63.3 million of fiscal 2023. [58]

Distributors. The second cut of the same revenue is by channel, and it barely moves. Distributors took 3,525.6 million dollars in fiscal 2025, against 3,622.6 million in fiscal 2024 and 4,235.7 million in fiscal 2023, while direct customers took 561.3 million, 555.4 million and 536.7 million. Nearly nine tenths of the money comes in through a distributor rather than straight from the company whose name goes on the finished product, which is also how the filing says its largest customer buys. [26, 62]

What comes next, in the company's own words: the combination with Qorvo is anticipated to close early in calendar year 2027, and while the merger agreement is in force the company's ability to declare dividends or repurchase its own shares is restricted by it. On the factory side, it said in August 2025 that it plans to close wafer fabrication in Woburn, Massachusetts and consolidate that work into Newbury Park, California, and it must move the Singapore filter plant by the end of a sublease that expires in July 2030, because the owner of the site has decided to redevelop it. [63, 64, 47, 65, 66]

What the desk infers (inferred, not filed)

  • The United States line in the geographic table is mostly one customer. Revenue is tagged to where the buyer keeps its headquarters, and Apple alone was more than two thirds of the whole. Because: The company tags revenue by the location of the original equipment manufacturer's headquarters, not by where the goods are shipped or assembled. [57] Apple accounted for 67% of net revenue in fiscal 2025, 69% in fiscal 2024 and 66% in fiscal 2023. [26] The United States line was 3,157.1 million dollars of the 4,086.9 million total in fiscal 2025. [58] Apple buys through multiple distributors and contract manufacturers, and distributors accounted for 3,525.6 million dollars of fiscal 2025 revenue. [26, 62] Confidence 88 of 100. Wrong if: A filing that names a second customer headquartered in the United States at ten percent or more of net revenue, or that tags geographic revenue by where product ships rather than by the buyer's headquarters.
  • Gross profit here turns on how full the company's own factories are, not only on how much it sells: it owns the fabs and the assembly plants, so a soft year leaves plant standing idle rather than an order merely uncancelled. Because: The company describes a hybrid manufacturing model combining its own specialized internal manufacturing with alliances and strategic relationships for leading-edge technologies. [30] It owns wafer fabrication in Newbury Park and Woburn, filter wafer processing in Osaka, and packaging, assembly and test in Mexicali and Singapore. [31] Property, plant and equipment, net, stood at 1,194.6 million dollars at the close of fiscal 2025. [33] It blames the fall in gross profit on unfavorable product mix, lower average selling prices and higher costs from facility consolidation and closure, partly offset by higher unit volumes. [67] It says lower-than-expected demand has led to underutilized manufacturing facilities, which could negatively impact its financial results. [68] Confidence 80 of 100. Wrong if: A year in which gross profit as a share of revenue holds steady while unit volumes fall sharply, or a filing showing that most wafer and assembly work has moved to outside foundries and subcontractors.
  • The 54% of the workforce sitting in Mexico is essentially the Mexicali packaging, assembly and test operation, which makes Mexican labor and the border a bigger headcount exposure for Skyworks than wafer supply is. Because: 54% of the workforce is in Mexico, against 24% in the United States and 20% in Asia. [16] 39% of the workforce is in individual contributor manufacturing roles. [17] About 3,260 employees in Mexico are covered by collective bargaining and other union agreements. [18] The only Mexican sites the filing names are the two Mexicali plants, one owned at 380,000 square feet and one leased at 378,000, both for manufacturing and office space, and Mexicali is named as a packaging, assembly and test location. [31, 69] Confidence 82 of 100. Wrong if: A filing that places a majority of the company's Mexican employees outside Mexicali, or that reports most of them in engineering rather than manufacturing roles.
  • The Qorvo agreement joins two direct rivals for the same sockets, which is why its conditions and its fee structure are built around competition and foreign investment review rather than around financing. Because: Qorvo sits on the filing's own list of competitors. [25] Closing is conditioned on the Hart-Scott-Rodino waiting period and on other regulatory approvals under certain antitrust and foreign investment regimes. [47] A separate, smaller termination fee of 100.0 million dollars is owed to Qorvo if an injunction under antitrust or foreign investment law, or a failure to obtain the named regulatory approvals, ends the agreement. [48] The company says receipt of financing is not a condition of its obligation to complete the mergers, although it has lined up up to 3,050.0 million dollars of bridge term loans. [49, 70] Confidence 72 of 100. Wrong if: The merger agreement or a later filing showing the regulatory termination fee is not tied to antitrust or foreign investment grounds, or the mergers clearing with no substantive competition review in any jurisdiction.
